END USER LICENSE AGREEMENT (EULA) AND TERMS AND CONDITIONS OF USE
Effective Date: 22 March 2025

This End User License Agreement and Terms and Conditions of Use ("Agreement") is a legal agreement between you ("you" or "User") and Weevva Systems Ltd. ("Weevva", "we", "our", or "us") governing your access to and use of the Weevva mobile application (the "App") and any related services, content, and features provided by Weevva (collectively, the "Services").

By downloading, installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, do not install, access, or use the App.

1. LICENSE GRANT

Subject to your compliance with this Agreement, Weevva Systems Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App solely for your personal or internal business use on a mobile device that you own or control.

2. RESTRICTIONS

You agree not to:

• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the App;
• Distribute, sell, sublicense, rent, lease, or otherwise transfer the App to any third party;
• Use the App for any unlawful purpose or in violation of any applicable law;
• Interfere with or disrupt the operation of the App or its servers or networks;
• Circumvent, disable, or otherwise interfere with security-related features of the App.

3. DATA COLLECTION, AGGREGATION, AND USE

Weevva is committed to protecting your privacy. Our use of data is governed by our Privacy Policy. By using the App, you agree and acknowledge that:

• We collect data to provide and improve our services. This may include user behavior, property details, communication records, and usage analytics.
• We may aggregate and de-identify user data. Aggregated and de-identified data does not contain any personally identifiable information (PII).
• We reserve the right to sell or otherwise monetize aggregated, de-identified data for analytical, commercial, or research purposes.
• We do not sell, rent, or share personally identifiable data to third parties without your explicit consent, except where required by law or as described in our Privacy Policy.

4. THIRD-PARTY SERVICES

The App may incorporate, access, or rely upon third-party services or content. Weevva is not responsible for the practices, policies, or content of any third-party services. Your use of such services is subject to their respective terms of use.

5. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the App and all associated intellectual property—including trademarks, trade secrets, and copyrighted material—are and shall remain the exclusive property of Weevva Systems Ltd. and its licensors.

Nothing in this Agreement shall grant you any rights in or to the App other than the limited license described above.

6. DISCLAIMERS

The App and all related services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law:

• Weevva makes no warranties, express or implied, regarding the accuracy, reliability, suitability, or availability of the App or any content therein;
• We do not guarantee uninterrupted or error-free service, nor that defects will be corrected;
• Any advice, data, legal guidance, or insights provided by the App are for informational purposes only. While we make best efforts to ensure the reliability of our content, Weevva does not accept responsibility for any decisions made in reliance on advice or data provided through the App;
• Your use of the App is entirely at your own risk.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Weevva Systems Ltd., its directors, officers, employees, contractors, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of or access to the App;
• Your violation of this Agreement;
• Your violation of any third-party rights;
• Any action taken (or not taken) in reliance on advice, data, or guidance provided by the App.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Weevva Systems Ltd. shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from:

• Your use of or inability to use the App;
• Reliance on any information provided by the App;
• Unauthorized access to or alteration of your data;
• Any other matter relating to the App.

Our total liability to you for any claim arising from the App shall not exceed the amount you paid (if any) to use the App.

9. TERMINATION

Weevva may terminate or suspend your access to the App at any time, without notice, for any reason, including breach of this Agreement. Upon termination, all rights granted to you under this Agreement will cease, and you must delete all copies of the App from your device.

10. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Province of Newfoundland and Labrador and the applicable laws of Canada, without regard to its conflict of law principles.

Any disputes arising from or related to this Agreement shall be resolved exclusively in the courts located in Newfoundland and Labrador, and you consent to the jurisdiction of such courts.

11. CHANGES TO THIS AGREEMENT

Weevva Systems Ltd. reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated version within the App or through other appropriate means. Continued use of the App after such notice constitutes acceptance of the updated terms.
